Terms & Conditions

These Terms & Conditions ("Terms") govern any project, service, or engagement between Softiators ("Softiators", "we", "us") and the individual or business engaging us ("Client", "you"). By engaging Softiators — through a signed quote, a paid deposit, or written confirmation to proceed — you agree to these Terms.

A project-specific proposal, statement of work, or invoice may add or clarify terms for that engagement. Where it conflicts with this page, the project-specific document controls for that project only.

Softiators provides software and digital services including but not limited to: logo design, UI/UX design, web development, mobile app development, custom web application development, e-book publishing, SEO (including AI/agentic search optimization), brand management, social media and email marketing, BPO services, and custom ERP, CRM, and HRMS development.

The specific deliverables, features, and exclusions for your project are defined in your written quote or statement of work, not by this page. If something isn’t listed there, it isn’t included unless agreed in writing.

Every project starts from a defined scope of work tied to your fixed quote. Work outside that scope — new features, additional pages or modules, a change in direction after design approval — is treated as a change request.

We will tell you clearly what a change request adds to the price and timeline before starting it. No change request is billed or built without your written (email is sufficient) approval first.

Most projects run on a 50% advance / 50% on completion basis, though payment terms and milestone splits are agreed with you individually based on your project. An official invoice is issued before any payment is due.

We accept Direct Bank Transfer, International Wire / Remittance, Payoneer. Full bank, Payoneer, and wallet details are shared securely with you during onboarding and on the invoice itself — never published publicly.

The advance payment secures your project slot and covers initial work; it is non-refundable once work has begun, except where Softiators fails to begin work within the agreed timeframe. The final payment is due before final files, source code, or production access are handed over.

Invoices not paid within 14 days of the due date may result in work being paused until payment is received. Repeated late payment may result in termination under Section 11.

To keep your project on schedule, you agree to: provide content, brand assets, access credentials, and feedback in a timely manner; designate one point of contact authorized to approve deliverables and change requests; and respond to review requests within a reasonable time.

Delays caused by late content, late feedback, or delayed access to third-party accounts (hosting, domain registrars, app stores, payment processors) may extend the delivery timeline accordingly and are not treated as a delay on our part.

Each package or quote states the number of included revision rounds for that deliverable. A revision round means feedback consolidated and returned to us once, not an open-ended back-and-forth.

Revisions requested after a deliverable has been formally approved, or that materially change the agreed direction (a new design concept, a different platform, a different feature set), are treated as a change request under Section 3.

A deliverable is considered approved if you do not respond with revision feedback within 10 business days of delivery, unless you’ve told us in writing that more time is needed.

Upon full and final payment, ownership of the custom code, designs, and other deliverables created specifically for your project transfers to you. Until final payment is received, all work product remains the property of Softiators.

This transfer does not include: third-party software, frameworks, libraries, plugins, stock assets, or fonts used in the build, which remain governed by their own licenses; or Softiators’ own pre-existing tools, internal frameworks, and general methodologies, which we retain the right to reuse on other projects.

We reserve the right to display completed, non-confidential work in our portfolio and marketing materials unless you request otherwise in writing, or unless a signed confidentiality agreement says otherwise (see Section 8).

We treat your business information, data, credentials, and project details as confidential, and will sign a mutual non-disclosure agreement (NDA) on request before any sensitive information is shared.

We will not disclose your confidential information to third parties except: to subcontractors or team members bound by the same confidentiality obligations and directly working on your project; where required by law; or with your written consent.

We warrant that deliverables will be built substantially in accordance with the agreed scope of work, and will fix defects reported within the post-launch support window included in your package at no additional charge.

Beyond that warranty, services and deliverables are provided "as is." We do not guarantee specific business outcomes (traffic, rankings, sales, conversions) since these depend on factors outside our control, including third-party platforms, market conditions, and your own business execution.

To the fullest extent permitted by law, Softiators’ total liability arising from any project or engagement is limited to the total fees paid by you for that specific project.

We are not liable for indirect, incidental, or consequential damages — including lost profits, lost data, or business interruption — arising from the use of, or inability to use, deliverables we’ve built, except where such liability cannot be excluded by law.

Either party may terminate an engagement in writing if the other party materially breaches these Terms and fails to correct it within 14 days of written notice.

If you terminate a project without cause after work has begun, payment is due for all work completed to date, calculated against project milestones, and the advance payment is non-refundable. If we terminate without cause, we will refund any advance payment for work not yet delivered.

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control — including natural disasters, internet or infrastructure outages, government action, or other events of similar nature — provided the affected party notifies the other and resumes performance as soon as reasonably possible.

Projects may rely on third-party services — hosting providers, domain registrars, payment gateways, analytics tools, APIs, app stores. We are not responsible for outages, policy changes, or fees charged by those third parties, though we will help you navigate them where reasonably possible.

These Terms are governed by the laws applicable in Washington, D.C., United States, without regard to conflict-of-law principles. Before pursuing formal legal action, both parties agree to attempt to resolve any dispute in good faith through direct negotiation.

We may update these Terms from time to time to reflect changes in how we operate. The version in effect at the time you engage us for a project governs that project; the "last updated" date at the top of this page reflects the most recent revision.
